Terms of Service
Effective Date: June 5, 2026
These Terms of Service (Terms) govern your access to and use of the websites, applications, APIs, blockchain data services, Firehose services, Substreams services, token and NFT data services, hosted software, dashboards, documentation, and related products and services made available by 14239032 Canada Ltd., d.b.a. Pinax Solutions (Pinax, we, us, or our) (collectively, the Services).
By accessing or using the Services, creating an account, obtaining an API key, selecting a plan, or otherwise indicating acceptance, you agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization, and Customer, you, and your refer to that organization.
If you do not agree to these Terms, you must not access or use the Services.
1. Relationship to Other Terms
These Terms apply to all users of the Services, including users of free, trial, self-serve, paid, pro, enterprise, custom, and other plans.
If you have entered into a separate written agreement, subscription order form, statement of work, service level agreement, data processing agreement, or other signed agreement with Pinax, that separate agreement will govern to the extent it conflicts with these Terms. Unless expressly stated otherwise in the applicable written agreement, these Terms supplement that agreement.
Your use of the Services is also subject to our Privacy Policy and Cookie Policy, which explain how we collect, use, disclose, and protect information.
2. Definitions
Account means an account created to access the Services.
API means an application programming interface provided by Pinax.
Blockchain Data means publicly available data from blockchain networks, including blocks, transactions, logs, traces, events, balances, token metadata, smart contract data, and other on-chain or protocol-derived data that Pinax indexes, processes, transforms, stores, or makes available through the Services.
Customer Data means data, content, queries, configurations, requests, files, credentials, metadata, or other information submitted by or for you to the Services, or created by you through your use of the Services. Customer Data does not include Blockchain Data or Usage Data.
Documentation means user guides, developer documentation, technical materials, API references, release notes, and other written or electronic documentation made available by Pinax.
Plan means the applicable free, trial, self-serve, paid, pro, enterprise, custom, or other service plan selected by you or agreed with Pinax.
Pinax Platform means Pinax's proprietary hosted software platform and related infrastructure that provide blockchain data APIs and services, including services powered by Firehose, Substreams, ClickHouse, and other Pinax data systems.
Professional Services means implementation, custom development, consulting, support, migration, backfill, integration, or other professional services provided by Pinax under an applicable order form or statement of work.
Services has the meaning given above and includes the Pinax Platform, APIs, software, documentation, support, and any ancillary services made available by Pinax.
Software means proprietary or third-party software, code, tools, applications, interfaces, and related materials made available as part of the Services.
Usage Data means technical, operational, diagnostic, performance, analytics, and usage information relating to the provision, use, performance, security, and operation of the Services, including logs, metrics, telemetry, API usage, rate-limit information, and service interaction data.
User means an employee, contractor, agent, or other individual authorized by you to access or use the Services.
3. Access to and Use of the Services
Subject to these Terms and your compliance with them, Pinax grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the Services during the applicable subscription period to develop, operate, and support your applications, products, services, websites, internal systems, and customer-facing offerings, in each case only as permitted by your Plan, the Documentation, or a written agreement with Pinax.
You may use the Services to power external-facing products and features that you make available to your own users, provided that you do not sell, resell, sublicense, redistribute, expose, or make available the Services themselves, or provide access to the Services as a standalone service, public gateway, proxy, relay, infrastructure service, or substantially similar competing service, except with Pinax's prior written authorization.
The Services and Documentation are licensed, not sold. Pinax and its licensors retain all right, title, and interest in and to the Services, Software, Documentation, and all improvements, enhancements, modifications, and derivative works of them. No rights are granted except as expressly stated in these Terms.
You are responsible for ensuring that your Users comply with these Terms. You are responsible for all activity occurring under your Account, API keys, credentials, authentication tokens, and other access methods, whether or not authorized by you.
4. Accounts, API Keys, and Security
You may be required to create an Account or authenticate through a third-party service, such as GitHub, to use certain Services. You agree to provide accurate, current, and complete account, billing, and contact information and to keep that information updated.
You are responsible for maintaining the confidentiality and security of your Account credentials, passwords, API keys, authentication tokens, systems, and equipment. You must promptly notify Pinax of any unauthorized access to or use of your Account, credentials, API keys, or the Services.
Pinax is not responsible for loss or damage arising from your failure to secure your Account, credentials, systems, or API keys.
5. Acceptable Use and Restrictions
You must use the Services only in accordance with these Terms, the Documentation, your Plan, and applicable laws.
You must not, and must not allow any User or third party to:
- copy, download, scrape, or reproduce the Services or any component of the Services except as expressly permitted by the Documentation or your Plan;
- reverse engineer, decompile, disassemble, modify, translate, or create derivative works of the Services, Software, or Documentation, except to the extent applicable law prohibits this restriction;
- use the Services, Software, Documentation, or data obtained through the Services to develop, operate, or offer a product or service that is substantially similar to, or directly competitive with, the Services themselves, such as a standalone blockchain data API, indexing infrastructure service, public gateway, proxy, relay, or redistribution service, except with Pinax's prior written authorization;
- sell, resell, rent, lease, lend, sublicense, distribute, transfer, or otherwise make the Services available to third parties except as expressly permitted by Pinax in writing;
- use the Services as a public gateway, proxy, relay, resale platform, redistribution service, shared infrastructure service, or API pass-through service for third-party traffic unless expressly authorized by Pinax in writing;
- expose API keys, authentication tokens, credentials, or direct access to the Services to your end users or other third parties except through your own application or service in a manner permitted by these Terms;
- interfere with, disrupt, degrade, or overload the Services or Pinax's networks, systems, hosts, or users;
- submit malicious code, viruses, worms, trojans, time bombs, or other harmful code or content;
- attempt to gain unauthorized access to the Services, other accounts, computer systems, networks, or data;
- bypass, circumvent, or exceed usage limits, rate limits, timing restrictions, access controls, quotas, authentication systems, or other technical restrictions;
- remove, obscure, or alter proprietary notices, labels, marks, or attribution;
- frame, mirror, or create unauthorized links to the Services or any portion of them;
- use the Services for unlawful, harmful, deceptive, abusive, fraudulent, or infringing activity;
- use the Services in violation of export control, sanctions, anti-corruption, anti-money laundering, privacy, data protection, or other applicable laws;
- use the Services for life-critical, safety-critical, emergency, or high-risk systems where failure could result in death, personal injury, environmental harm, or property damage; or
- use the Services in a manner that could harm Pinax, other customers, blockchain networks, third-party providers, or the security, stability, integrity, or availability of the Services.
For clarity, these restrictions do not prohibit you from using the Services to power your own wallet, explorer, analytics dashboard, portfolio application, decentralized application, enterprise workflow, AI agent, website, mobile application, or other customer-facing product, provided that your use otherwise complies with these Terms and your Plan.
6. Usage Limits and Plan Restrictions
Your use of the Services may be subject to usage limits, rate limits, quotas, capacity limits, data retention limits, feature restrictions, or other limits associated with your Plan or Documentation.
Pinax may monitor use of the Services to operate, secure, improve, and enforce the Services and these Terms. If your use exceeds applicable limits or materially exceeds the expected operational profile for your Plan, Pinax may require you to reduce usage, upgrade your Plan, implement technical changes, pay additional fees, or enter into a separate written agreement.
Pinax may change, suspend, or impose limits on free, trial, self-serve, promotional, or beta Services at any time.
7. Support and Service Levels
Pinax may provide support as described in the applicable Plan, Documentation, or written agreement.
Unless expressly stated in a separate written agreement signed by Pinax, free, trial, self-serve, pro, and other non-enterprise Services are provided on a best-effort basis and are not subject to any uptime commitment, service level agreement, service availability target, response time commitment, or service credits.
Enterprise support, availability commitments, and service credits, if any, apply only where expressly set out in a signed enterprise order form, service level agreement, or other written agreement with Pinax.
8. Suspension
Pinax may suspend or limit your access to the Services immediately if Pinax reasonably believes that:
- you have breached these Terms;
- your use threatens the security, stability, integrity, or availability of the Services;
- your use may harm Pinax, other customers, third parties, or blockchain networks;
- your Account, credentials, or API keys may be compromised;
- you have exceeded applicable usage limits or failed to pay amounts when due;
- your use is fraudulent, unlawful, abusive, or infringing;
- suspension is required by law or by a third-party provider; or
- continued provision of the Services would expose Pinax to legal, security, operational, or commercial risk.
Where reasonably practicable, Pinax will attempt to notify you before suspension and give you an opportunity to remedy the issue. Pinax may restore access after the condition requiring suspension has been resolved. Pinax will not be liable for any suspension or limitation made in accordance with these Terms.
9. Third-Party Services and Dependencies
The Services may interoperate with, depend on, or include services, software, networks, data, infrastructure, protocols, wallets, authentication providers, payment processors, cloud providers, blockchain nodes, indexing systems, open-source software, or other offerings provided by third parties (Third-Party Offerings).
Pinax does not control Third-Party Offerings and is not responsible for their availability, security, performance, accuracy, rate limits, errors, delays, outages, changes, discontinuation, or acts or omissions.
Your use of Third-Party Offerings may be subject to separate terms, policies, fees, and restrictions imposed by those third parties.
10. Blockchain Network Dependencies
You acknowledge that blockchain networks are decentralized systems not controlled by Pinax.
Service availability, data availability, data completeness, data latency, indexing behavior, reorg handling, protocol interpretation, and performance may be affected by blockchain client software behavior, protocol upgrades, consensus events, forks, validator failures, node resynchronization, RPC behavior, mempool behavior, network congestion, rate limits, finality assumptions, indexing limitations, chain-specific anomalies, or other network-level conditions beyond Pinax's reasonable control.
Pinax is not responsible for service degradation, interruption, data delay, data inconsistency, or data unavailability resulting from blockchain network conditions, third-party infrastructure, or other conditions beyond Pinax's reasonable control.
Pinax does not make any representation or warranty regarding the future or expected value, legality, status, utility, or performance of any cryptocurrency, token, protocol, smart contract, network, validator, or blockchain project.
11. Customer Data, Blockchain Data, and Usage Data
As between you and Pinax, you retain all right, title, and interest in and to Customer Data. Pinax does not acquire ownership of Customer Data.
Customer Data does not include Blockchain Data. Blockchain Data is publicly available data derived from blockchain networks and may be used, processed, stored, indexed, transformed, enriched, made available, and commercialized by Pinax and other parties independently of you.
You are solely responsible for the accuracy, quality, integrity, legality, reliability, and appropriateness of Customer Data and the means by which you submit or make Customer Data available to the Services.
You represent and warrant that you have all rights, consents, permissions, notices, and legal bases necessary for Pinax to process Customer Data as contemplated by these Terms and your use of the Services.
You grant Pinax a non-exclusive, worldwide, royalty-free license to host, process, transmit, display, reproduce, and use Customer Data as necessary to provide, secure, maintain, improve, support, and operate the Services; comply with law; prevent fraud or abuse; and enforce these Terms.
Pinax may generate, collect, and use Usage Data to provide, operate, secure, monitor, analyze, improve, and develop the Services. Pinax may disclose Usage Data in aggregated or de-identified form that does not identify you or any individual.
12. Aggregated and De-Identified Data
Pinax may use data relating to the provision, use, performance, security, and operation of the Services to improve, enhance, develop, diagnose, secure, and correct the Services and other Pinax offerings.
Pinax may disclose such data in aggregated or de-identified form, provided that the disclosed data does not identify you or any individual.
13. Personal Information and Privacy
Pinax processes personal information in accordance with its Privacy Policy.
To the extent Pinax processes personal information on your behalf as part of the Services, you are responsible for determining whether you are a data controller, business, or equivalent role under applicable privacy laws and for ensuring that your instructions to Pinax comply with applicable law.
You must not submit sensitive personal information, regulated personal information, protected health information, payment card data, government identification numbers, or other highly sensitive information to the Services unless your Plan or written agreement expressly permits it and appropriate safeguards have been agreed.
Pinax will maintain commercially reasonable administrative, physical, and technical safeguards designed to protect personal information processed by Pinax in connection with the Services.
14. Feedback
If you provide suggestions, ideas, comments, improvements, bug reports, feature requests, or other feedback regarding the Services (Feedback), you grant Pinax a perpetual, irrevocable, worldwide, royalty-free, sublicensable, transferable license to use, reproduce, modify, distribute, disclose, and otherwise exploit that Feedback without restriction or compensation to you, excluding any Customer Confidential Information contained in the Feedback.
15. Professional Services
Pinax may provide Professional Services only if agreed in an order form, statement of work, or other written agreement.
Unless otherwise agreed in writing, Pinax owns all software, code, schemas, templates, tooling, know-how, inventions, discoveries, concepts, technology, deliverables, modifications, enhancements, and related intellectual property created, developed, or provided by Pinax in connection with Professional Services. Any rights granted to you in Professional Services deliverables will be limited to those expressly stated in the applicable written agreement.
16. Fees, Billing, and Taxes
You agree to pay all fees associated with your Plan, usage, Professional Services, or other purchases.
Fees may include recurring subscription fees, usage-based fees, overage fees, professional services fees, implementation fees, support fees, and other charges described in the applicable Plan, order form, invoice, or checkout flow.
Unless otherwise stated, fees are exclusive of taxes. You are responsible for all applicable sales, use, value-added, goods and services, harmonized sales, withholding, and similar taxes, duties, and assessments, except taxes based on Pinax's net income.
If you believe Pinax has billed you incorrectly, you must contact Pinax within sixty (60) days after the billing statement or invoice containing the error. Pinax is not required to provide adjustments or credits for disputes raised after that period.
Unpaid amounts may accrue finance charges of 1.5% per month, or the maximum amount permitted by law, whichever is lower, plus costs of collection. Pinax may suspend or terminate access to the Services for non-payment.
17. Changes to Fees and Plans
Pinax may change fees, usage limits, Plan features, or billing methods from time to time. Unless otherwise stated in a written agreement, changes to paid subscriptions will take effect at the start of the next subscription period or after reasonable notice.
Pinax may change or discontinue free, trial, beta, preview, or promotional Services at any time without notice.
18. Term and Termination
These Terms begin when you first access or use the Services and continue until terminated.
You may stop using the Services at any time. You may cancel a paid Plan in accordance with the applicable Plan terms, checkout flow, or written agreement.
Pinax may terminate or suspend your access to the Services if you breach these Terms, fail to pay amounts when due, create legal or operational risk, or if Pinax discontinues the Services or your Plan.
Upon termination, your right to access and use the Services will immediately cease. You remain responsible for all fees incurred through the effective date of termination.
Sections that by their nature should survive termination will survive, including provisions relating to ownership, restrictions, fees, confidentiality, data, disclaimers, indemnification, limitation of liability, governing law, and miscellaneous terms.
19. Confidentiality
If either party receives non-public business, technical, financial, product, security, or other confidential information from the other party in connection with the Services, the receiving party will use reasonable precautions to protect that information and will not use or disclose it except as necessary to perform obligations or exercise rights under these Terms, as authorized by the disclosing party, or as required by law.
Confidential information does not include information that the receiving party can document: (a) is or becomes publicly available without breach of these Terms; (b) was lawfully known before receipt; (c) is lawfully received from a third party without restriction; (d) is independently developed without use of the confidential information; or (e) is required to be disclosed by law.
If the parties have entered into a separate non-disclosure agreement, that agreement will also apply.
20. Publicity
Pinax will not use your name, logo, or trademarks in public customer lists, marketing materials, case studies, press releases, or other promotional materials without your prior consent.
If you provide consent, Pinax will use your name, logo, and trademarks only in accordance with any reasonable trademark usage guidelines you provide.
21. Warranties and Disclaimers
Pinax will use commercially reasonable efforts to provide the Services in a professional manner.
EXCEPT AS EXPRESSLY STATED IN THESE TERMS OR A SEPARATE WRITTEN AGREEMENT, THE SERVICES, SOFTWARE, DOCUMENTATION, DATA, SUPPORT, AND PROFESSIONAL SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PINAX DISCLAIMS ALL WARRANTIES, CONDITIONS, REPRESENTATIONS, AND GUARANTEES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUALITY, PERFORMANCE, ACCURACY, AVAILABILITY, SECURITY, RELIABILITY, AND RESULTS.
PINAX DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, COMPLETE, CURRENT, OR FREE OF HARMFUL COMPONENTS, OR THAT ALL ERRORS WILL BE CORRECTED.
NO STATEMENT OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM PINAX OR THROUGH THE SERVICES WILL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS OR A WRITTEN AGREEMENT SIGNED BY PINAX.
22. Indemnification by You
You will defend, indemnify, and hold harmless Pinax and its officers, directors, employees, contractors, agents, affiliates, licensors, and suppliers from and against any claims, demands, suits, proceedings, damages, losses, liabilities, costs, and expenses, including reasonable legal fees, arising out of or relating to:
- Customer Data;
- your use of the Services in breach of these Terms;
- your violation of applicable law;
- your infringement or misappropriation of third-party rights;
- your products, services, applications, or systems that use or rely on the Services;
- your failure to secure Accounts, credentials, API keys, tokens, systems, or equipment; or
- your negligence, willful misconduct, or fraud.
Pinax will provide you with reasonable notice of any claim subject to indemnification, give you reasonable control of the defense and settlement, and provide reasonable assistance at your expense. You may not settle any claim in a manner that imposes liability or obligations on Pinax without Pinax's prior written consent.
23. Intellectual Property Infringement
If the Services become, or in Pinax's opinion are likely to become, subject to an intellectual property infringement claim, Pinax may, at its option: (a) procure the right for you to continue using the Services; (b) replace or modify the Services so they are non-infringing; or (c) terminate the affected Services and provide a refund of any prepaid, unused fees for the affected Services.
Pinax will have no obligation for any claim arising from: (i) Customer Data; (ii) your instructions or specifications; (iii) modifications not made by Pinax; (iv) combination with products, services, software, data, or processes not supplied by Pinax; (v) use after Pinax has notified you to stop due to a claim; (vi) Third-Party Offerings; or (vii) use not in accordance with these Terms or the Documentation.
24. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR SIMILAR DAMAGES, INCLUDING DAMAGES FOR LOST PROFITS, LOST REVENUE, LOST BUSINESS, BUSINESS INTERRUPTION, LOSS OF DATA, LOSS OF GOODWILL, OR COST OF SUBSTITUTE SERVICES, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PINAX'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO PINAX FOR THE SERVICES GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY. IF YOU HAVE NOT PAID PINAX ANY AMOUNTS FOR THE SERVICES, PINAX'S TOTAL AGGREGATE LIABILITY WILL NOT EXCEED CAD $100.
The limitations above do not limit liability that cannot be limited under applicable law.
25. Export Controls and Sanctions
You must comply with all applicable export control, import, sanctions, and trade compliance laws and regulations. You must not access or use the Services if you are located in, organized under the laws of, or ordinarily resident in any country or territory subject to comprehensive sanctions, or if you are listed on any applicable restricted party list.
You must not use the Services for any prohibited end use, including any use involving weapons, military end uses, sanctioned parties, or other restricted activities prohibited by applicable law.
26. Beta, Preview, and Experimental Services
Pinax may offer beta, preview, experimental, free, or evaluation Services. Such Services may be incomplete, unstable, unavailable, changed, or discontinued at any time. They are provided for evaluation only and without warranties, support commitments, service level commitments, or liability of any kind to the maximum extent permitted by law.
27. Modifications to the Services and Terms
Pinax may modify, update, suspend, or discontinue all or part of the Services from time to time.
Pinax may revise these Terms from time to time by posting an updated version on its website or otherwise providing notice. If a revision materially reduces your rights or increases your obligations, Pinax will use reasonable efforts to provide notice, such as by email, in-product notice, or website notice.
Your continued use of the Services after revised Terms become effective constitutes acceptance of the revised Terms.
28. Force Majeure
Neither party will be liable for delay or failure to perform any obligation, other than payment obligations, due to events beyond its reasonable control, including acts of God, natural disasters, fire, flood, earthquake, epidemic, pandemic, war, terrorism, civil unrest, labor disputes, governmental acts, power failures, telecommunications failures, internet failures, cloud provider failures, blockchain network failures, attacks, or other events beyond reasonable control.
29. Assignment
You may not assign or transfer these Terms without Pinax's prior written consent.
Pinax may assign or transfer these Terms, in whole or in part, in connection with a merger, acquisition, corporate reorganization, financing, sale of assets, change of control, or by operation of law.
Any attempted assignment in violation of this section is void. These Terms bind and benefit the parties and their permitted successors and assigns.
30. Governing Law and Venue
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of laws principles.
Any dispute arising out of or relating to these Terms or the Services will be submitted to the exclusive jurisdiction of the courts located in the Judicial District of Ottawa, Ontario, Canada.
The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.
31. Miscellaneous
These Terms, together with any applicable Plan, order form, written agreement, Privacy Policy, Cookie Policy, and other terms incorporated by reference, constitute the entire agreement between you and Pinax regarding the Services and supersede all prior or contemporaneous agreements, communications, and understandings regarding the Services.
If any provision of these Terms is found unenforceable, that provision will be limited or modified to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
Failure to enforce a provision is not a waiver. Remedies are cumulative unless expressly stated otherwise.
No agency, partnership, joint venture, fiduciary, or employment relationship is created by these Terms.
